Terms of Use

These Terms of Use (hereinafter referred to as "Terms") set forth the terms and conditions for the provision of the Service and the rights and obligations between the Company and the Registered Users. Please read the entire Terms carefully and agree to these Terms before using the Service.

Article 1 (Application)

1. The purpose of these Terms is to set forth the terms and conditions for the provision of the Service and the rights and obligations between the Company and Registered Users regarding the use of the Service, and these Terms shall apply to all relationships between Registered Users and the Company regarding the use of the Service.

2. Any rules and policies posted by the Company on the website (https://felo.me/business-translator) concerning the use of the Service shall constitute part of these Terms.

3. If there is any discrepancy between the contents of these Terms and the rules mentioned in the preceding paragraph or any other description of the Service outside these Terms, the provisions of these Terms shall prevail unless otherwise specifically reserved in such description.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings defined below:

(1) "Service Agreement" means the agreement for use of the Service concluded between the Company and the Registered User under these Terms.

(2) "Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights and other intellectual property rights (including rights to obtain these rights or apply for registration of these rights).

(3) "Posted Data" means content (including but not limited to text, images, videos and other data) posted or otherwise transmitted by Registered Users through the Service.

(4) "Company" means Sparticle Corporation.

(5) "Website" means the website operated by the Company to sell the Service with the domain name "https://felo.me/business-translator" (including the website after any change in domain name or content for any reason).

(6) "Registered User" means an individual or legal entity who has completed registration as a user of the Service pursuant to Article 3 (Registration).

(7) "Service" means the internet service provided by the Company (including the service after any change in service name or content for any reason).

Article 3 (Registration)

1. A person who wishes to use the Service (hereinafter referred to as "Registration Applicant") may apply for registration to use the Service by agreeing to comply with these Terms and providing certain information specified by the Company (hereinafter referred to as "Registration Information") in the manner prescribed by the Company.

2. The Company shall determine whether to approve the registration of the Registration Applicant who has applied for registration pursuant to paragraph 1 in accordance with the Company's standards, and shall notify the Registration Applicant when the Company approves the registration. The registration of the Registration Applicant as a Registered User shall be completed upon the Company's notification under this paragraph.

3. Upon completion of registration as set forth in the preceding paragraph, the Service Agreement shall be established between the Registered User and the Company, and the Registered User may use the Service in accordance with these Terms.

4. The Company may refuse registration or re-registration if the Registration Applicant falls under any of the following items, and shall not be obligated to disclose the reason:

(1) When the Registration Applicant has provided false, incorrect or omitted information in whole or in part in the Registration Information provided to the Company

(2) When the Registration Applicant is a minor, adult ward, person under curatorship or person under assistance and has not obtained the consent of their legal representative, guardian, curator or assistant

(3) When the Company determines that the Registration Applicant is an Anti-Social Force, etc. (meaning organized crime groups, members of organized crime groups, right-wing organizations, anti-social forces, or other similar persons; the same shall apply hereinafter) or has any interaction or involvement with Anti-Social Forces, etc. such as cooperating with or being involved in the maintenance, operation or management of Anti-Social Forces, etc. through funding or otherwise

(4) When the Company determines that the Registration Applicant is a person who has violated any agreement with the Company in the past or is related to such person

(5) When the Registration Applicant has been subject to measures under Article 10

(6) When the Company otherwise determines that registration is not appropriate

Article 4 (Change of Registration Information)

Registered Users shall promptly notify the Company of any changes to their Registration Information in the manner prescribed by the Company.

Article 5 (Management of Password and User ID)

1. Registered Users shall manage and store their password and user ID for the Service at their own responsibility and shall not allow any third party to use them or lend, transfer, change the name of, sell or otherwise dispose of them.

2. Registered Users shall be responsible for any damage caused by insufficient management of their password or user ID, errors in use, use by third parties, etc.

Article 6 (Fees and Payment Method)

1. Registered Users shall pay to the Company the usage fees separately specified by the Company and displayed on the Website as consideration for the use of the Service by the payment method designated by the Company.

2. If a Registered User delays payment of the usage fees, the Registered User shall pay to the Company a late payment charge at the rate of 14.6% per annum.

Article 7 (Prohibited Acts)

Registered Users shall not engage in any of the following acts or any act that the Company determines falls under any of the following items when using the Service:

(1) Acts that violate laws or regulations or are related to criminal acts

(2) Acts of fraud or threats against the Company or other third parties

(3) Acts that violate public order and morals

(4) Acts that infringe intellectual property rights, portrait rights, privacy rights, reputation or other rights or interests of the Company or other third parties

(5) Asking questions or transmitting through the Service information that falls under or that the Company determines falls under any of the following:

・Information containing excessively violent or cruel expressions

・Information for plotting to overthrow the government through terrorism or violence

・Information containing child pornography

・Information containing computer viruses or other harmful computer programs

・Information containing expressions that damage the reputation or credibility of the Company, other users of the Service or other third parties

・Information containing excessively obscene expressions

・Information containing expressions that promote discrimination

・Information containing expressions that promote suicide or self-harm

・Information containing expressions that promote inappropriate use of drugs

・Information containing anti-social purposes

・Information requesting the spread of information to third parties such as chain mail

・Information containing expressions that cause discomfort to others

(6) Acts that place an excessive load on the network or system of the Service

(7) Acts of reverse engineering or other analysis of software or other systems provided by the Company

(8) Acts that may interfere with the operation of the Service

(9) Unauthorized access to the Company's network or system

(10) Acts of impersonating a third party

(11) Acts of using the ID or password of other users of the Service

(12) Acts of advertising, publicity, solicitation or business operations on the Service without prior approval from the Company

(13) Acts of collecting information about other users of the Service

(14) Acts that cause disadvantage, damage or discomfort to the Company, other users of the Service or other third parties

(15) Acts that violate the rules concerning the use of the Service posted on the Website (https://accounts.felo.me/business/policies/terms-of-use-translator)

(16) Provision of benefits to Anti-Social Forces, etc.

(17) Acts aimed at meeting members of the opposite sex whom one has never met

(18) Acts that directly or indirectly cause or facilitate any of the preceding items

(19) Attempts to commit any of the preceding items

(20) Other acts that the Company determines to be inappropriate

Article 8 (Suspension of the Service)

The Company may suspend or interrupt the provision of all or part of the Service without prior notice to Registered Users in any of the following cases:

(1) When emergency inspection or maintenance work needs to be performed on the computer system relating to the Service

(2) When operation of the Service becomes impossible due to computer or communication line failure, erroneous operation, excessive concentration of access, unauthorized access, hacking, etc.

(3) When operation of the Service becomes impossible due to force majeure such as earthquakes, lightning, fire, wind or flood damage, power outages, natural disasters, etc.

(4) When the Company otherwise determines that suspension or interruption is necessary

Article 9 (Rights Attribution)

All intellectual property rights related to the Website and the Service belong to the Company or persons who have licensed their use to the Company, and the license to use the Service under these Terms does not mean a license to use the intellectual property rights related to the Website or the Service belonging to the Company or persons who have licensed their use to the Company. The rights to transmitted text and service responses shall be governed by the following article.

Article 10 (Text and Responses)

1. The Company does not guarantee or assume any other responsibility for the accuracy, safety or legality of text transmitted by Registered Users using the Service (hereinafter referred to as "Transmitted Text").

2. Registered Users shall have complete rights to Transmitted Text and shall use responses through the Service (hereinafter referred to as "Service Responses") at their own responsibility and judgment.

3. The Company shall not be responsible for any matters concerning the content of Service Responses and defects in the Service based on causes attributable to API connection destinations of the Service.

4. If copyright arises in Service Responses, such copyright (including rights under Articles 27 and 28 of the Copyright Act) shall be transferred to the Registered User upon provision of the Service Response to the Registered User.

5. Registered Users shall not modify or otherwise alter the Service's logo, etc. attached by the Company to Service Responses without the Company's consent.

6. Registered Users fully understand that, due to the nature of the Service, identical or extremely similar responses may be generated for their Service Responses, and consent in advance to the possibility that other Registered Users may use such responses. It is confirmed that such consent does not constitute an assignment or license of rights to Transmitted Text by Registered Users.

Article 11 (Cancellation of Registration)

1. The Company may, without prior notice or warning, delete or hide Posted Data, temporarily suspend the use of the Service by the Registered User, or cancel the registration as a Registered User if the Registered User falls under any of the following items:

(1) When the Registered User has violated any provision of these Terms

(2) When it is found that there is a false fact in the Registration Information

(3) When the Registered User becomes subject to suspension of payments or becomes insolvent, or when a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation or other similar proceedings

(4) When there is no response for 30 days or more to inquiries or other communications from the Company requesting a response

(5) When the Registered User falls under any item of Article 3, Paragraph 4

(6) When the Company otherwise determines that use of the Service or continuation of registration as a Registered User is not appropriate

2. If any of the items in the preceding paragraph applies, the Registered User shall automatically lose the benefit of time for all obligations owed to the Company and shall immediately pay all obligations to the Company.

Article 12 (Withdrawal)

1. Registered Users may withdraw from the Service and cancel their registration as a Registered User by completing the procedures prescribed by the Company.

2. If there are any obligations owed to the Company at the time of withdrawal, the Registered User shall automatically lose the benefit of time for all obligations owed to the Company and shall immediately pay all obligations to the Company.

3. Treatment of user information after withdrawal shall be governed by the provisions of Article 15.

Article 13 (Changes to and Termination of the Service)

1. The Company may change the content of the Service or terminate the provision of the Service at its discretion.

2. The Company shall notify Registered Users in advance when terminating the provision of the Service.

Article 14 (Disclaimer of Warranties and Limitations of Liability)

1. The Company makes no express or implied warranties that the Service will meet the Registered User's specific purposes, have expected functions, commercial value, accuracy or usefulness, that the Registered User's use of the Service will comply with applicable laws or internal rules of industry groups, be continuously available, or be free from defects.

2. The Company shall not be liable for damages incurred by Registered Users in relation to the Service beyond the amount paid by the Registered User to the Company in the past 12 months, and shall not be liable for any incidental damages, indirect damages, special damages, future damages or lost profit.

3. Any transactions, communications, disputes, etc. between Registered Users and other third parties in connection with the Service or Website shall be resolved by Registered Users at their own responsibility and expense.

Article 15 (Confidentiality)

Registered Users shall keep confidential any non-public information disclosed by the Company to Registered Users in connection with the Service that the Company requires to be treated as confidential, except with the Company's prior written consent.

Article 16 (Treatment of User Information)

1. Treatment of Registered Users' user information by the Company shall be governed by the Privacy Policy (https://www.sparticle.com/) separately prescribed, and Registered Users consent to the Company's treatment of their user information in accordance with this Privacy Policy.

2. The Company may use and disclose information and data provided by Registered Users to the Company as statistical information in a form that cannot identify individuals at the Company's discretion, and Registered Users shall not object to this.

Article 17 (Changes to these Terms)

The Company may change these Terms when the Company deems it necessary. When changing these Terms, the Company shall notify Registered Users of the effective time and content of the changed Terms by posting on the Website or other appropriate method, or shall obtain the consent of Registered Users in the manner prescribed by the Company if such consent is required by law.

Article 18 (Communications/Notices)

1. Inquiries about the Service and other communications or notices from Registered Users to the Company, and notices about changes to these Terms and other communications or notices from the Company to Registered Users shall be made in the manner prescribed by the Company.

2. Registered Users shall be deemed to have received any communication or notice when the Company sends such communication or notice to the email address or other contact information included in the Registration Information.

Article 19 (Assignment of Status under Service Agreement)

1. Registered Users may not assign, transfer, provide as security or otherwise dispose of their status under the Service Agreement or their rights or obligations under these Terms to any third party without the prior written consent of the Company.

2. In the event of assignment of the business related to the Service to another company, the Company may assign its status under the Service Agreement, rights and obligations under these Terms, and Registration Information and other customer information of Registered Users to the assignee of such business assignment, and Registered Users hereby consent in advance to such assignment. Business assignment in this paragraph shall include not only ordinary business assignment but also company split and any other case where business is transferred.

Article 20 (Severability)

Even if any provision of these Terms or any part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of these Terms and the remaining part of the provision determined to be invalid or unenforceable shall continue to be fully effective.

Article 21 (Governing Law and Jurisdiction)

1. These Terms and the Service Agreement shall be governed by the laws of Japan.

2. Any disputes arising out of or in connection with these Terms or the Service Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
